Ensysce Lands Up to $77 Million to Fuel Next Generation Pain Therapy Pipeline

DENVER, Colo. (247marketnews.com) -- Ensysce Biosciences (NASDAQ: ENSC) has taken a significant strategic step toward becoming a broader pain therapeutics company with the acquisition of clinical-stage Cy Biopharma, bringing together two distinct approaches to addressing one of healthcare's largest unmet needs. The transaction is backed by up to $77 million in financing and positions the combined company to advance both a next-generation non-opioid pain therapy and Ensysce's proprietary abuse-resistant opioid platform.

The acquisition brings CY200, a neuroplastogenic therapy for Complex Regional Pain Syndrome (CRPS) Type 1, into Ensysce's pipeline. CY200 has received U.S. FDA Orphan Drug Designation, providing potential regulatory incentives including market exclusivity, tax credits and development support if ultimately approved. CRPS remains one of the most debilitating chronic pain disorders, and there are currently no FDA-approved therapies specifically indicated for the condition, highlighting the significant unmet medical need.

The transaction also substantially strengthens Ensysce's balance sheet. Funding includes approximately $17.1 million of cash acquired through Cy Biopharma's pre-acquisition financing, an additional $21.5 million expected at the initial closing of a private placement led by Ally Bridge Group, and the potential for another $38.6 million upon achievement of a future clinical milestone. Management expects the available capital to fund CY200 through Phase 2 proof-of-concept data while supporting preparations for registrational development.

Importantly, Ensysce is not abandoning its original strategy. The company plans to continue advancing PF614-MPAR, its abuse-resistant opioid candidate designed to reduce overdose and misuse through its proprietary TAAP™ and MPAR® technologies. That program continues to receive financial support from the National Institute on Drug Abuse (NIDA), allowing Ensysce to pursue two differentiated approaches to severe pain management simultaneously.

Leadership also expands as part of the transaction. Cy Biopharma founder and Chief Executive Officer James Morrison will become President of the combined company and join the Board of Directors, bringing additional clinical development experience as the organization prepares for upcoming milestones.

The transaction represents more than a simple acquisition. It diversifies Ensysce beyond opioid safety into neuroplasticity-based therapies while adding significant financial resources that management believes will allow clinical execution to become the primary focus over near-term financing needs. The upcoming Phase 2 data for CY200 and continued progress of PF614-MPAR are expected to become key catalysts as the company seeks to build value across multiple pain treatment platforms.
