DENVER, Colo. (247marketnews.com) -- Gossamer Bio (NASDAQ:GOSS) has reached what management describes as a pivotal stage in its lead drug program, announcing a series of regulatory, strategic, and financial developments that could reshape the company's future. The clinical-stage biotechnology company said it plans to submit a New Drug Application (NDA) for seralutinib in September 2026 following a Pre-NDA Type B meeting with the U.S. Food and Drug Administration (FDA) and receipt of the agency's official meeting minutes.
According to the company, FDA feedback supports moving forward with an NDA based on the Phase 3 PROSERA trial, supplemented by confirmatory evidence from the Phase 2 TORREY study and additional supporting analyses. Gossamer noted that the FDA characterized questions surrounding the magnitude of treatment effect and statistical significance as review issues rather than filing issues. While acceptance of an NDA does not guarantee approval, the company believes it is on track for a potential FDA decision during the third quarter of 2027, assuming the application is accepted for review.
The regulatory progress comes alongside a significant strategic move. Gossamer announced it has reacquired worldwide development and commercial rights to seralutinib from Chiesi, consolidating global control of the program under one organization. The transaction eliminates the previous U.S. profit-sharing arrangement and returns ex-U.S. commercialization rights to Gossamer, giving the company full authority over development, manufacturing, pricing, commercialization, and lifecycle management across all markets. Under the agreement, Chiesi will make a $5 million one-time payment to Gossamer, while retaining eligibility for capped royalties and certain regulatory and commercial milestone payments if the product reaches the market.
The company also strengthened its financial position through a previously announced convertible note exchange that substantially reduced outstanding debt. Stockholders approved proposals supporting the transaction, along with authorization for a reverse stock split intended to provide flexibility in maintaining compliance with Nasdaq's minimum bid price requirements. Following the debt exchange, Gossamer reduced its outstanding principal debt by approximately $115.9 million, leaving a significantly smaller balance of its original 2027 convertible notes.
Financially, Gossamer reported preliminary cash, cash equivalents, and marketable securities totaling approximately $57 million as of June 30, 2026, providing additional resources as it prepares for potential commercialization activities. The combination of a clearer regulatory pathway, streamlined ownership of its lead asset, reduced debt obligations, and strengthened balance sheet positions the company to focus on what could become its most important milestone since its founding.
Pulmonary arterial hypertension (PAH) remains a serious, progressive disease with limited treatment options despite advances over the past two decades. If approved, seralutinib would enter a market seeking new therapies that address the underlying biology of the disease rather than simply managing symptoms.
