Veea Targets Longevity Jackpot with NovaGen

DENVER, Colo. (247marketnews.com) -- Veea (NASDAQ:VEEA) is making a dramatic push beyond traditional edge infrastructure, announcing a potential combination with NovaGen Group that could create a Nasdaq-listed longevity and precision-health platform valued by management at approximately $750 million.

The companies signed a term sheet Monday and are targeting a definitive business combination agreement within the coming weeks. The proposal also comes with a $10 million cornerstone investment commitment from GeoNova Capital, giving the deal an institutional-financing component as NovaGen pursues a path toward U.S. public markets. The valuation, however, is based on management projections and an independent valuation prepared using those projections, not a completed transaction or guaranteed market value.

At the center of the proposed combination is NovaGen Health Networks, an ambitious platform designed to fuse Veea's edge computing, connectivity and cybersecurity infrastructure with NovaGen's regenerative-medicine and cellular-reprogramming capabilities.

The first phase is targeted for Q4 2026, beginning at NovaGen clinics and partner hospitals. The concept includes household health hubs, patient-controlled health-record wallets, wearable and sensor integration, longitudinal biological data and individual "digital twins." VeeaONE would process sensitive information locally while enabling AI-powered wellness applications and patient-authorized data sharing.

The bigger opportunity and execution risk comes in Phase 2. Subject to clinical validation and applicable regulatory authorizations, the companies envision combining medical records and digital-twin data with cellular information generated from NovaGen's ARC Prometheus process. Proposed applications include biomarker assessment, clinician-supervised diagnostics and potential autologous therapy pathways.

"NovaGen Health Networks creates a pathway to identify and evaluate potential candidates for our therapies, allowing that relationship to begin earlier and continue through assessment, treatment and follow-up," said NovaGen CEO Diederik van der Reijt. Veea Chairman and CEO Allen Salmasi described the project as bringing "connectivity, computing, cybersecurity, storage and AI capabilities together in one global network."

For Veea, the deal also represents a potentially important diversification story. The company says it will continue serving its existing edge-AI infrastructure customers while using the health initiative to demonstrate VeeaONE in a highly data-intensive, security-sensitive vertical. VeeaONE currently combines connectivity, edge computing, security and centralized management across distributed sites, including healthcare environments.
