DENVER, Colo. (247marketnews.com) -- XIAO-I Corporation (NASDAQ:AIXI) has suddenly become the kind of micro-cap that can command traders’ attention: a dramatically reduced ADS ratio, violent price swings and a share structure that can make relatively modest buying pressure translate into outsized moves.
The setup is anything but straightforward. On September 8, XIAO-I completed a major ADS-ratio change, moving from one ADS representing 60 ordinary shares to one ADS representing 420 shares, the economic equivalent of a one-for-seven reverse ADS split for ADS holders. The company said the underlying ordinary shares were not changed or canceled. That corporate action materially altered the number of ADSs representing the company's ordinary shares.
That is where the squeeze thesis enters the conversation. A relatively small ADS share count can create an unusually thin trading environment: if demand suddenly overwhelms available sellers, the stock can move rapidly.
There are also fundamental and financing considerations traders cannot ignore. In June, XIAO-I disclosed a $2.17 million convertible promissory note transaction, with $2 million paid for the note and 325,000 ADSs issued as pre-delivery shares. In August, the company disclosed another convertible note that could result in up to $4.33 million of ADSs being issued upon conversion. Those securities create potential dilution and can complicate any simple low-float thesis.
Meanwhile, XIAO-I continues to pursue its intellectual-property dispute with Apple. After first-instance Chinese court rulings went against the company on infringement claims in June, XIAO-I said it intended to appeal to China's Supreme People's Court. The company cautioned that there was no assurance of a favorable appellate outcome or financial compensation.
